This topic address the need of International and Multinational companies looking to open up a Representation Office in Lebanon.
Prerequisites:
- Articles of Incorporation of the mother company.
- Minutes of meeting (General Assembly or Board of Directors or General Manager) that includes the decision to open a representative office in Lebanon and appointment of the manager plus his rights.
- Manager passport.
- Business Address.
- Names of Partners , including their Nationality, Date & Place of Birth. Company’s Name, Corporate purpose, Headquarter Address and any other branches or offices, Authorized signatories, Date of Incorporation, Capital and Term.
Process:
- In company home country:
- Certification of the above documents by the Registrar of Commerce and the Lebanese Embassy.
- In Lebanon:
- Certification of the above documents by the Ministry of Foreign Affairs.
- Translation into Arabic by a sworn translator.
- Certification by a notary.
- Certification by the Ministry of Justice.
- Registration at the Ministry of Economy & Trade MoET (toll fees $1,200.-).
- Publication in the Official Gazette (~$300 depending on number of words).
- Registration at Beirut Commercial Registrar - Ministry of Justice MoJ (toll fees $1,800.- plus ~$50.- depending on the number of certified copies).
The Representation Office, entitles the company to market and advertise its brand in Lebanon, but not the right to issue contracts and invoices.
